Agility Robotics Files 8-K as Public Company After Business Combination
Agility Robotics filed an 8-K on Nov. 6 after closing its business combination. The filing adds new bylaws, stock plans for staff and an auditor letter.

Agility Robotics, Inc. filed a current report on Form 8-K with the Securities and Exchange Commission on Nov. 6, 2026, laying out the paperwork for its life as a publicly traded company. Among the exhibits is a press release dated Nov. 4, 2026, that announces the closing of the company’s business combination.
A business combination is the term used when a private company merges into a listed shell or another public entity and takes over its stock listing. Once the deal closes, the company has to tell investors about its new charter, its share structure and the plans it will use to pay employees in stock. This 8-K is that disclosure.
New charter, bylaws and share certificate
The filing includes a certificate of incorporation for Agility Robotics, Inc. (Exhibit 3.1) and a new set of bylaws (Exhibit 3.2). Those two documents set the rules for how the company is governed, including what rights shareholders have and how the board operates. Exhibit 4.1 is a specimen common stock certificate, the template for the shares that investors now hold.
Exhibit 10.3 is an amended and restated registration rights agreement dated June 24, 2026. Agreements of this kind give certain holders the right to have their shares registered with the SEC so they can later sell them on the market.
Stock plans for employees
Several exhibits deal with equity pay. Agility Robotics filed a 2026 Incentive Award Plan, a 2026 Employee Stock Purchase Plan and a 2026 Equity Incentive Plan, as amended, along with forms for stock option grants and restricted stock units under them. It also filed an amended and restated version of its 2015 Equity Incentive Plan with a matching stock option award form.
An employee stock purchase plan usually lets workers buy company shares through payroll deductions. Restricted stock units are promises of shares that vest over time. The older 2015 plan covers awards made while the company was private.
What it means for shareholders and staff
For employees, the new plans set the terms for how their equity awards work now that the company’s stock trades publicly. For shareholders, the charter, bylaws and registration rights agreement set out their voting rights and when other holders can sell registered stock.
Exhibit 99.1 contains unaudited pro forma condensed combined financial information, which shows what the merged company’s finances would have looked like had the deal been in place earlier. The filing also lists the company’s subsidiaries in Exhibit 21.1.
Auditor letter, lease and adviser deal
Exhibit 16.1 is a letter from WithumSmith+Brown, PC to the SEC dated Nov. 6, 2026. Companies file a letter of this type when they change the accounting firm that audits their books, and the former auditor states whether it agrees with the company’s description of the change.
Agility Robotics also filed a lease agreement dated Oct. 2, 2026, and a second amended and restated advisor agreement dated Nov. 2, 2026. The other parties to those agreements and their financial terms were not disclosed in the filing index.
