Coca-Cola’s Indian Bottler Files for IPO Expected Near $1 Billion
Coca-Cola's Indian bottler HCCH filed for an IPO in which Coca-Cola's unit sells shares. Deal size, valuation, the Jubilant stake and what comes next.

Hindustan Coca-Cola Holdings Ltd (HCCH), which owns The Coca-Cola Company’s bottling business in India, has filed a draft prospectus with the Securities and Exchange Board of India (Sebi) for an initial public offering. Every share in the deal would come from a Coca-Cola holding company, so the offering hands Coca-Cola cash from its Indian bottling operation while HCCH itself raises nothing.
The issue is expected to be worth around $1 billion and to value HCCH at roughly $10 billion, Fortune India reported. The shares are to be listed on the BSE and the NSE in India, and Moneycontrol reported that the listing is planned for 2027.
Who is selling, and how many shares
The offering is entirely an offer for sale (OFS), meaning existing owners sell their shares to the public and no new stock is created. The seller is Hindustan Coca-Cola Overseas Holdings Pte. Ltd., the promoter shareholder through which Coca-Cola owns 60% of HCCH. According to Fortune India, it plans to sell up to 99.74 crore shares (a crore is 10 million) with a face value of ₹10 each. Moneycontrol put the figure at nearly 99.75 crore shares.
The other 40% belongs to Jubilant Beverages, which became a promoter in July 2025. The Jubilant Bhartia Group paid ₹12,500 crore for that stake, Fortune India reported. Only the Coca-Cola entity is named as a seller.
The price will be set through book building, a process in which banks collect bids from investors before fixing the final price. Kotak Mahindra Capital Company, Citigroup Global Markets India, J.P. Morgan India, Morgan Stanley India, Axis Capital, Goldman Sachs India and IIFL Capital Services are the book-running lead managers. KFin Technologies is the registrar.
What the bottler does
HCCH runs its business through a subsidiary, Hindustan Coca-Cola Beverages Pvt. Ltd. (HCCB), which makes, packages and distributes drinks in 10 states and four Union Territories, mostly in southern and western India. As of June 30, 2026, the company:
- sold through about 1.7 million retail outlets using 2,273 distributors;
- ran 14 production facilities and eight co-pack units, with 90 bottling lines in total;
- had 41 drinks across sparkling, hydration and still beverages, including juices.
Thums Up is its biggest sparkling soft drink by sales value, Maaza leads still beverages and Kinley leads packaged drinking water in the company’s main states.
Recent results
For the three months ended June 30, 2026, revenue from operations at HCCH’s retained units was ₹4,310.17 crore, up 20.46% from a year earlier. Sales volumes grew 18.61%. The EBITDA margin (earnings before interest, taxes, depreciation and amortization, as a share of revenue), excluding other income and exceptional items, rose to 17.20% from 13.76% in the same quarter last year.
India is one of the five largest markets for the Coca-Cola system by unit case volume and was the largest contributor to the system’s volume growth between 2021 and 2025, according to Fortune India. The non-alcoholic ready-to-drink market in HCCH’s main states was valued at ₹63,730 crore in FY26 and is projected to reach ₹1.18 lakh crore by FY31, a compound annual growth rate of 13.17%.
What it means for Coca-Cola shareholders
For investors in The Coca-Cola Company, the offering is a way to turn part of its Indian bottling stake into cash. Because the deal is all OFS, the proceeds go to the selling Coca-Cola unit. Fortune India described the listing as part of Coca-Cola’s strategy of cutting its exposure to capital-intensive bottling while keeping its focus on brands, new products and marketing.
What happens next
The filing is a draft red herring prospectus, the preliminary offering document used in India, and the sale will run through book building. The price range has not been disclosed. Moneycontrol reported a target listing in 2027 on the BSE and NSE.
